Independent Sales Agent Guidelines

COMPLIANCE WITH CERAGEM POLICIES AND REQUIREMENTS. Subject to the terms and conditions set forth herein, AGENT shall retain sole and absolute discretion in the manner and means of carrying out his/her/its activities and responsibilities in performing the services under this Agreement. Notwithstanding the foregoing, however, AGENT understands and agrees that he/she/it shall comply with any policies and requirements of CERAGEM regarding codes of conduct that are applicable to sales AGENTs (e.g., a prohibition against sexual harassment), which may be from time to time communicated to AGENT

Becoming an ISA

To become an independent Sales Agent, you need to fill out and sign a distributor agreement form, provide a copy of a valid ID and a completed W9. Ceragem USA will review your application and decide if you are eligible to join as an independent agent. An agent code will be provided and must be entered in every sale to claim commission. You must be at least 18 years old or the legal age in your state. The Company can accept or reject any applicant at its discretion.

The Company and its independent distributors have a contractual relationship that does not involve any franchise or distributorship rights. Independent distributors are not employees, agents, partners, or joint venturers of the Company. They are self-employed marketing representatives of the Company’s products and services.


As an independent Sales Agent , you are responsible for upholding and enhancing the reputation of the Company and its products . You should always act in a professional, ethical and respectful manner towards the Company, other Independent Sales Agents, customers and the public. You should not engage in any actions or communications that could harm the Company’s image or business interests, or that could violate the public interest.  You should not make negative or false statements about the Company, other independent sales agents,  products and/or services. Any breach of these standards may result in termination of your independent Sales Agent agreement.


Independent distributors must follow the Company’s guidelines for advertising, statements and representations about its products. These guidelines are written and approved by the Company and include its policies and procedures and any other official materials as stated in the Independent sales agent agreement . Independent Sales Agents must not make any false or misleading claims about the Company or products.


As a seller of Company products and services, you are an independent distributor and not an employee of Company. Therefore, you are solely liable for any local, state and federal taxes that may apply to your earnings from commissions or any other income you receive from your business activities. You are also responsible for collecting and remitting any sales tax or use tax that may be required by state or local authorities when you purchase or sell Company products and services.
